Legal and Compliance Manager who is a self-starter with strong project management and organizational skills and the ability to take ownership of projects and increased responsibilities is needed for a small but busy in-house Legal Department to support the Corporate Counsel and Secretary. The Legal Department’s goal is to provide timely, quality and cost-effective legal services to assist the Company in meeting its business objectives. The department’s focus is to ensure that the Company’s best interests are being met by providing practical advice and assistance with respect to understanding and complying with laws, rules, and regulations applicable to the Company’s business. The ideal candidate for this position will have international experience at a publically traded company and be familiar with corporate governance, SEC compliance, finance/accounting, securities, M&A, and contract administration issues. Must be highly ethical. This position entails heavy compliance work and the ability to carry out multiple tasks with minimal supervision, including some responsibility for the company hotline.
The Legal and Compliance Manager will:
- Prepare corporate documents and filings related to various business transactions, including filings with various federal, state and local agencies such as the SEC and stock exchanges.
- Maintain corporate records.
- Assist with entity management and contract administration matters.
- Assist in overall corporate regulatory, compliance and governance matters serving as a key contact for external and internal regulatory, compliance and governance matters.
- Track new and proposed regulations and legislation and analyze impact on business.
- Manage policies
- Develop training modules working with business units to ensure appropriate regulatory and compliance training is conducted.
- Support ethics and compliance programs.
- Provide general support to the Corporate Counsel and Secretary and perform other duties as required.
Minimum Qualifications and Requirements:
- BA/BS degree required; JD/MBA degree preferred, but not required.
- 2-5+ years of solid corporate and business experience within a public company or law firm.
- Knowledge of FCPA
- General paralegal skills
- Must demonstrate professionalism and possess a strong desire to succeed.
- Must have flexible approach to managing workload and prioritizing tasks and be prepared to work extended hours if needed. Must be well-organized and able to work well under time pressures and switch gears quickly. Must be able to produce high quality work while managing multiple projects concurrently.
- Must be able to work in a problem-solving environment as an independent and logical thinker, proactive in independent planning and able to define problems, collect data, establish facts and draw valid conclusions.
- Must have strong interpersonal and oral/written communication skills, including diplomacy and flexibility, to develop and maintain strong internal/external working relationships and able to interact and communicate effectively with personnel at many different levels throughout the Company.
- Must be able to follow verbal and written instructions with acute attention to detail.
- Experience in the energy and/or seismic industry desirable, but not required.
